1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SignBidPro ("the Service") operated by Steve Sicard ("we," "us," or "our") at signbidpro.com. By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

SignBidPro is a SaaS platform that uses artificial intelligence to extract sign takeoff information from architectural drawing sets and specification documents. The Service allows users to upload PDF documents, generate sign schedules, create pricing, and produce bid letters for commercial sign projects.

3. Account Registration

To use SignBidPro you must:

• Create an account with a valid email address
• Provide accurate and complete information
• Be at least 18 years of age
• Be authorized to represent the company or organization on whose behalf you are using the Service

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@signbidpro.com if you suspect unauthorized access.

4. Subscription Plans and Billing

Plans:

Billing: Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By providing payment information you authorize us to charge your payment method on a recurring basis.

Drawing set limits: Each uploaded PDF drawing set counts as one drawing set against your monthly allowance. Limits reset on your billing anniversary date each month.

Upgrades and downgrades: You may change your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing period.

Cancellation: You may cancel your subscription at any time from your account settings. You will retain access to paid features until the end of your current billing period. No partial refunds are issued for unused time.

Refunds: We offer a 7-day money-back guarantee on your first paid subscription charge. After 7 days all charges are non-refundable except where required by law.

5. Acceptable Use

You agree to use SignBidPro only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload documents you do not have the right to share or process
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to develop a competing product
• Attempt to gain unauthorized access to any part of the Service
• Upload malicious files or content
• Share your account credentials with others
• Exceed your plan's drawing set limits through technical workarounds

6. Your Content and Data

Ownership: You retain all ownership rights to the documents you upload and the data you create in SignBidPro. We do not claim any ownership over your content.

License to us: By uploading content to SignBidPro you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service to you.

Responsibility: You are solely responsible for the content you upload. You represent and warrant that you have all necessary rights to upload and process the documents you submit to the Service.

Confidentiality: Architectural drawing sets may contain confidential project information. While we implement security measures to protect your data, you should not upload documents that you are prohibited from sharing under a non-disclosure agreement or other confidentiality obligation without ensuring that use of a cloud-based SaaS tool is permitted.

7. AI-Generated Output

SignBidPro uses artificial intelligence to extract sign information from architectural drawings. You acknowledge and agree that:

• AI extraction is not 100% accurate and may miss signs, misread quantities, or include incorrect information
• All AI-generated takeoffs must be reviewed and verified by a qualified sign estimator before use in a bid
• You are solely responsible for verifying the accuracy of any output generated by the Service before submitting a bid or proposal to a client
• We make no warranty that AI-generated takeoffs are complete, accurate, or suitable for any particular project
• We are not liable for any bid errors, lost contracts, or financial losses resulting from reliance on AI-generated output without independent verification

8. Intellectual Property

The Service, including its design, code, AI models, features, and branding, is owned by SignBidPro and protected by intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Service without our written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNBIDPRO AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BIDS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SignBidPro and its operators from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms. Upon termination your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Lee County, Florida.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
